Subscription of shares with stock options 2004

The share subscription periods for Pöyry PLC's stock options are as follows:

• for stock option 2004A the subscription period ended on 31 March 2010
• for stock option 2004B the subscription period ended on 31 March 2011
• for stock option 2004C 1 March 2009 - 31 March 2012

The place for the share subscriptions are all branch offices of Nordea Bank Finland Plc.

One (1) stock option entitles to subscription for four (4) shares in Pöyry PLC. The subscription prices are available on page Stock options 2004.

Stock option owners who wish to subscribe shares with these stock options are kindly requested to contact their account operator for assistance with the subscription.

The subscription of shares can also be executed by the owner himself, e.g. when the account operator does not offer subscription services. Please proceed as follows:

• Fill in the subscription form 2004C (PDF 27 kb) .
• Pay the subscription price to Pöyry PLC's bank account 233318-8593 at the Nordea Bank (the Pöyry PLC's IBAN account number is FI16 2333 1800 0085 93 and the swift is NDEAFIHH). As payment reference write "SUBSCRIPTION OF SHARES/STOCK OPTIONS 2004C".
• Send the subscription form and a copy of the payment receipt to Pöyry PLC's Legal Department by letter or fax. The subscription form and payment receipt must be available to the Group Legal Department according to the below schedule (contact information below).
• Check that the Legal Department has received the documents by the due date.

THE SUBSCRIPTION PERIOD WITH STOCK OPTIONS 2004C ENDS ON 31 MARCH 2012

The last possible subscription date with stock option 2004C is 31 March 2012. If you subscribe on 31 March, the last date to submit the Subscription form and the payment receipt to the Legal department is 13 April 2012 according to the below schedule.

IMPORTANT NOTE! THE SUBSCRIPTION IS ONLY EFFECTIVE UPON PAYMENT! If you wish to make the payment via internet, make sure that you make the payment of the subscription price on Saturday 31 March 2012 latest. If you make and pay the Subscription at Nordea's offices you will have to both subscribe and pay on Friday 30 March 2012 latest.

The subscription is valid only when both the subscription form and the receipt of payment have been delivered to the company as described above. The subscription date is the day when payment has been executed to Pöyry PLC's bank account mentioned above.

The shares subscribed with stock options are available for trading only after the Board of Directors has approved the subscription, the corresponding increase of total number of shares has been registered with the Trade

Register, and the new shares have been accepted as listed shares on NASDAQ OMX Helsinki. The company issues a Company Announcement when shares have been subscribed and the increases of total number of shares will be registered with the Trade Register according to the below schedule. The Issuer Agent records the fully paid subscriptions into the shareholders' book-entry accounts.

•  NOTE that subscription period ENDS ON 31 March 2012 and subscriptions must be completed and paid in accordance with the above instructions and timetable.
